Candidate Introduction Terms of Service

These Candidate Introduction Terms of Service (“Terms”) apply whenever Talent International Holdings Pty Ltd and its related bodies corporate, including, without limitation, organisations under the Talent International, AVEC Global, Scale by Avec, RISE by Talent and Solve by Talent brands (“Talent”, “we”, “our”), provide a candidate profile, resume, curriculum vitae, candidate summary, referral, introduction, or candidate information (“Candidate Information”) to any recipient (“Recipient”).
1. Acceptance of Terms
By receiving, reviewing, retaining, discussing, interviewing, assessing, referring, forwarding, contacting, engaging or employing a candidate introduced by Talent, the Recipient acknowledges and accepts these Terms.
Where the Recipient has entered into a separate written recruitment agreement with Talent, that agreement will prevail to the extent of any inconsistency.
2. Confidentiality
All Candidate Information is confidential and proprietary to Talent and the candidate.
The Recipient must not:
- copy, reproduce, publish or distribute Candidate Information except for genuine internal recruitment assessment purposes;
- disclose Candidate Information to any third party without Talent’s prior written consent; or
- use Candidate Information for any purpose other than evaluating the candidate for a potential engagement.
3. Introduction Protection
A candidate introduced by Talent will be deemed introduced to the Recipient and any related entity of the Recipient from the date Candidate Information is first provided by Talent.
If, within twelve (12) months of that introduction:
- the Recipient;
- any related body corporate of the Recipient;
- any associated entity of the Recipient;
- any contractor, managed service provider or intermediary acting on behalf of the Recipient; or
- any third party to whom the Recipient discloses the Candidate Information, engages, employs, retains, contracts with or otherwise benefits from the services of that candidate in any capacity, Talent shall be entitled to its applicable recruitment fee.
4. Referral to Third Parties
The Recipient must not provide Candidate Information to any third party without Talent’s prior written consent.
Where Candidate Information is disclosed to a third party by the Recipient, the Recipient remains responsible for any recruitment fee arising from that disclosure and subsequent engagement.
5. Recruitment Fees
The applicable recruitment fee will be:
- the fee agreed in any separate written commercial proposal from Talent;
- the fee set out in any existing agreement between Talent and the Recipient; or
- where no fee has been agreed in a proposal or written commercial agreement, a fee equivalent to thirty percent (30%) of an annual full time salary package as determined by Talent based on current market value.
Talent will invoice the Recipient immediately upon commencement of the candidate’s engagement or employment.
6. Candidate Verification
Candidate information is provided based on information supplied by candidates and third parties. The Recipient is responsible for conducting its own assessment, interviews, reference checks, background checks and suitability investigations.
7. Limitation of Liability
To the maximum extent permitted by law, Talent excludes all liability arising from the Recipient’s use of Candidate Information or decision to engage or not engage a candidate.
Talent’s aggregate liability arising out of these Terms is limited to the amount of AU$1.
8. Governing Law
These Terms are governed by the laws of New South Wales, Australia. The parties submit to the non-exclusive jurisdiction of the courts of New South Wales.
